# PUBLIC OFFER ## for the provision of training and information-consulting services **Edition:** `SS-OFERTA-2026-001` **Publication date and time (UTC+5):** 2026-10-06 22:50 This public offer (the **Offer**, the **Agreement**) sets the terms on which the **Skillspace** training centre, acting on behalf of **Creative Space LLC**, provides training and information-consulting services to individuals and legal entities. --- ## 1. GENERAL PROVISIONS 1.1. **Creative Space LLC**, operating under the commercial designation **Skillspace** (the **Provider**), offers individuals and legal entities (the **Customer**) to conclude an agreement for training and information-consulting services on the terms of this Offer. 1.2. The Offer is published at **https://skillspace.uz/oferta** and may also be sent by email, messengers or personal account. All editions are kept in the public archive **https://skillspace.uz/oferta/arxiv**. 1.3. This document is a **public offer** under **Article 369 of the Civil Code of the Republic of Uzbekistan** (CC RUz). 1.4. Acceptance is made under **Article 370 CC RUz** and e-commerce law by: - (a) checking the boxes accepting the Offer and annexes in the website/payment form; and - (b) paying (in full, in part, or as prepayment/advance) for the selected Course. 1.5. By accepting the Offer, the Customer confirms that they have fully reviewed the Agreement, programme, schedule, full Course price, price structure and centre rules, accept them without reservation and undertake to comply. 1.6. If the Customer disagrees with any term, they must not accept the Offer or pay. 1.7. The Offer is published in **Uzbek**, **Russian** and **English**. In case of discrepancy, the state language of the Republic of Uzbekistan (Uzbek) prevails. English is for convenience only. --- ## 2. Services are **training and information-consulting** (non-formal skills training). A Skillspace certificate (upon successful final exam) confirms the learning result and is **not** a state-issued education document, state attestation or employment guarantee. The Provider does not deliver state education programmes. 2.3. Any required permit/licence/notification is stated on the Site and in the Specification before payment. Until registry details are filled in, the relevant programme is not commercially operated publicly. --- ## 3. TERMS 3.1. **Provider** — Creative Space LLC (Skillspace). 3.2. **Customer** — person who accepted the Offer. 3.3. **Learner** — individual receiving the services. 3.4. **Course** — programme fixed in the personal Specification (Annex 2). 3.5. **Full Course price** — price of the Course (or paid period) shown on the Site and in the Specification and on the payment screen before payment. 3.6. **Organisational services (30%)** — booking a place, account setup, digital workplace, admin paperwork and Specification (cl. 7.2.1). 3.7. **Starter digital pack (20%)** — fee for a simple (non-exclusive) licence to learning materials for 24 months for personal use (cl. 7.2.2). 3.8. **Academic classes (50%)** — teacher-led classes; price split equally across the Course (cl. 7.2.3). 3.9. **Specification** — Annex 2 personal document with Course name, price, format and dates. 3.10. **Acceptance** — the acts in cl. 1.4. 3.11. **Actual costs** — documented Provider costs under Annex 3. 3.12. **BRV** — base calculation value under Uzbek law on the relevant date. 3.13. **BNPL / bank-partner instalments** — payment via a financial institution; refunds go to that institution. 3.14. **Technical access to the digital pack** — moment materials access is actually opened (logged by the Provider). 3.15. **Force majeure** — section 18. 3.16. **Consumer law** — Law of the Republic of Uzbekistan “On Protection of Consumer Rights”. 3.17. **Site** — https://skillspace.uz and related Provider pages. --- ## 4. SUBJECT 4.1. The Provider shall deliver training and/or information-consulting services for the selected Course; the Customer shall accept and pay for them. 4.2. Format: in-person, online or blended — as in the Specification. 4.3. Minimum Learner age is **10**. By accepting, the Customer warrants they are 18+ and fully capable. If acting for a minor (10–18), they confirm they are parent, adoptive parent, guardian or trustee, act in the minor’s interests and give all required consents. The Provider may request proof of age or status. False information entitles the Provider to terminate extrajudicially without refund. 4.4. No guarantee of employment, income, external exam scores or other outcomes. Results depend on the Learner’s effort. Marketing is informational. --- ## 5. COURSE LIST (Annex 1) 5.1. Current programmes, structure, levels, class counts, indicative schedule and prices are on https://skillspace.uz and form **Annex 1**. 5.2. On acceptance, Course terms are **frozen** in the Specification (Annex 2). If terms conflict, the Specification prevails over the Site and ads. 5.3. Directions may include Mobilography, Video & content production, AI for everyone, AI Developers, English Lessons and other Site programmes. --- ## 6. CONCLUSION AND PROOF OF ACCEPTANCE 6.1. The Agreement is concluded electronically upon acceptance (cl. 1.4). 6.2. Proof includes checkbox/action logs, payment data, the Specification and messages under cl. 6.3. Any payment confirms familiarity with full price, programme, schedule, format and the accepted Offer text. 6.3. The Specification (Annex 2) is an inseparable part of the Agreement and contains individual terms (Course name, price, format, dates). After payment, the Specification and accepted Offer text are sent electronically by any available means chosen by the Provider: - personal account on the Site; - email (if provided); - SMS or messenger (including Telegram) to the phone given at checkout. Email is not required to conclude the Agreement. 6.4. **Mandatory unchecked checkboxes at payment:** 1. acceptance of the Offer (edition No. …) and annexes; 2. consent to personal data processing; 3. acknowledgement of refund and IP sections; 4. consent to immediate Starter digital pack access (if chosen), understanding the 20% refund effect (cl. 7.2.2 and section 13). Optional checkbox: marketing photo/video consent. --- ## 7. PRICE AND STRUCTURE 7.1. Full Course price (or period) is shown on the Site and payment screen before payment, split 30% / 20% / 50%. 7.2. The price has **three independent components**: ### 7.2.1. Organisational services (30%) Include booking a place in a small group, account creation, digital workplace setup, admin formalities and Specification. Fully performed when booking notice and Specification are sent. On termination, refund of this part is after deducting actual costs (per calculation), not more than 30% of total price and not more than amounts paid. On written request, a calculation extract is provided within 5 business days. ### 7.2.2. Starter digital pack (20%) Fee for a simple (non-exclusive) licence to materials (guides, templates, checklists, etc.) for 24 months for personal use. Performed when technical access is granted. Distribution, sublicensing, public display and commercial courses based on materials are forbidden. Before technical access, pack price is refundable under section 13. Immediate issue only with checkbox 6.4(4). ### 7.2.3. Academic classes (50%) Teacher-led classes. Price split equally across the Course. Refund for unheld classes is proportional. 7.3. For monthly/subscription programmes, rules apply to the paid period. Next-period price may change with at least 15 calendar days’ notice; continuing study means consent. 7.4. For Provider instalments, delay over 3 business days allows suspending access. Penalty: 0.1% of overdue amount per day, not exceeding the debt. 7.5. If paid via bank partner (instalments/BNPL), refunds go to that financial organisation under its rules. 7.6. On refund, the Provider may withhold actual acquiring/payment-system commissions charged on the transfer. --- ## 8. TRAINING PROCEDURE 8.1. Training follows the Specification schedule. Schedule changes are notified in advance. 8.2. A class is performed if the Provider prepared the room/platform and teacher on time. Personal no-shows (illness without freeze, travel, family reasons) do not entitle recalculation/refund, because the slot and teacher were reserved. 8.3. **Freeze:** up to 2 times per Course, total up to 90 calendar days (written request). Illness: medical certificate. Transfer to a parallel group: if seats are available. 8.4. Individual make-up of missed group classes is not guaranteed. Recordings/extra materials — at Provider’s discretion. 8.5. Minimum group size: 4 (unless Specification says otherwise). Start may be postponed by up to 21 calendar days or another group offered. If the group cannot be formed — 100% refund including Organisational services. 8.6. Missing 4+ classes in a row and not answering Provider messages for 14 calendar days is treated as Customer refusal; settlement under section 13. 8.7. Teacher may be replaced with comparable qualification. Schedule change notice: at least 24 hours. If change increases Course length by more than 30% or shifts class time by more than 2 hours, Customer may terminate and get a refund for unheld classes without penalties. 8.8. Before start, Customer must report in writing health features relevant to safety (allergies, epilepsy tendency, light sensitivity, etc.). 8.9. Provider is responsible for Learner safety only during the scheduled class on premises or platform. Escort of a minor to/from the centre is the Customer’s duty. Childcare outside classes is not provided. 8.10. Safety briefing before classes. Intentional damage to centre property by the Learner is compensated by the Customer in full based on repair/replacement documents. --- ## 9. ONLINE TRAINING 9.1. Customer provides working device, headset and stable internet. 9.2. Customer-side technical failures do not mean non-performance if the Provider ran the class on time and gave access. 9.3. Provider-side failures (platform down, broken stream link) — reschedule or repeat class; if impossible — refund that class share. --- ## 10. PROVIDER DUTIES 10.1. Organise and deliver training per Specification. 10.2. May suspend access for payment delay (cl. 7.4) or breaches of sections 14–15. 10.3. Keeps internal attendance and digital-access records. --- ## 11. CUSTOMER DUTIES. QUALITY CLAIMS 11.1. Pay on time; follow discipline, centre rules and IP. 11.2. Responsible for accurate contacts; risk of non-receipt if data not updated lies with Customer. 11.3. Quality claims: written claim; Provider offers remake class / extra consult / teacher change / price reduction. Full refund on termination only for substantial irremediable defects. Recommended handling: up to 5 business days; does not cut statutory consumer rights. 11.4. No claim during classes does not waive consumer rights under Uzbek consumer law. --- ## 12. FINAL EXAM AND CERTIFICATE 12.1. At Course end the Learner takes a final exam. Format, criteria and pass mark — in Specification or Course rules. 12.2. Certificate only upon successful exam; otherwise not issued (retake per Course rules). 12.3. Levels such as “good” / “excellent” per score thresholds in the Specification. 12.4. Internal Provider document only — not a state education document, not state attestation, not an employment guarantee. --- ## 13. WITHDRAWAL AND REFUND 13.1. Customer may withdraw anytime by written statement to Provider email (or at the centre). Refund calculation follows Uzbek consumer law: Provider retains performed services and actual costs. Terms worse than law for consumers do not apply. 13.2. Refund depends on when the statement arrives. **Maximum** holds from full Course price (never more than paid; never more than documented actual costs): | When statement received | Maximum hold | Refund | |---|---|---| | More than 14 calendar days before first class | actual acquiring fee | rest of paid amount | | 14–7 calendar days before start | 10% of full price | rest | | 7 days – 72 hours before start | 20% | rest | | Less than 72 hours before start, or after start but before technical pack access | 30% (Organisational) | rest | | After technical pack access | 30% + 20% | 50% for unheld classes | | After some classes held | 30% + 20% + share of held classes from 50% | remainder for unheld | A “held” class is one for which the Provider timely provided access and a teacher (even if the Learner did not attend for personal reasons). This table sets maximum holds and is a voluntary reduction by the Provider. Acquiring fee is not stacked twice if already included. 13.3. Holds never exceed amounts paid. No extra charge beyond paid funds. 13.4. Refund within 15 calendar days after statement and clarified details, same payment channel (BNPL/bank partner — to the financial organisation). 13.5. Instead of cash refund, Customer may choose: freeze up to 90 days; transfer to another stream/programme; assign training right to another person; or a 12-month credit note. Alternatives do not remove the right to cash refund under cl. 13.2. --- ## 14. DISCIPLINE AND CONDUCT 14.1. Discipline, respect for teachers, peers and staff, care for property. 14.2. Gross breach (insults, intentional damage, disrupting classes): Provider may terminate unilaterally without refund of tuition paid. --- ## 15. INTELLECTUAL PROPERTY 15.1. All learning materials are Provider (or rightsholder) IP. 15.2. Access is for personal non-commercial Course use only. 15.3. Forbidden: sharing logins/access; copying/leaking/public posting/group buys; using materials for own courses or commerce. 15.4. Customer is fully responsible for Learner compliance. Adult Learner joins this section and is jointly liable with Customer. 15.5. Liquidated damages (minimum loss estimate): (a) share to one outsider — 5× Course price; (b) mass leak / group buy / more than one recipient — 15× (not less than 60 BRV); (c) own courses on materials — 30×. 15.6. Fixation by screenshots/records + act; 3 business days for explanations; access may be blocked; confirmed fine may be set off against refund; disputed part — court; undisputed part refunded on standard timeline. 15.7. Does not limit statutory copyright remedies (including compensation 20–1000 BRV). --- ## 16. PERSONAL DATA 16.1. Processing under the Uzbek Personal Data Law based on separate checkbox consent. 16.2. Policy: https://skillspace.uz/privacy (Annex 5). 16.3. For minors, consents are given by the legal representative (Customer). 16.4. Processing of RUz citizens’ data complies with database localisation in Uzbekistan. 16.5. Necessary categories only (name, contacts, payment, learning, technical/IP/sessions); kept at least 3 years after end, then delete or anonymise. 16.6. Third parties (payments, hosting, messaging) listed in the Privacy Policy. 16.7. Image/voice for marketing only with separate voluntary consent. --- ## 17. PHOTO AND VIDEO 17.1. Marketing filming only with prior consent; refusal does not affect training. 17.2. Consent may be withdrawn by email for the future. 17.3. Online classes may be recorded for quality and make-up access, with prior notice. --- ## 18. FORCE MAJEURE 18.1–18.4. Parties are excused for force majeure (disasters, epidemics, quarantine, state acts banning in-person classes, major network outages, premises loss not caused by Provider). Temporary move to online / reschedule / pause allowed; temporary online shift alone is not grounds for full refund. Notice in a reasonable time (~10 calendar days); CCI RUz documents if needed. --- ## 19. DISPUTES 19.1. Pre-trial claim to Provider email; reply within 10 calendar days. 19.2. B2B/IP — economic court at Provider’s location. 19.3. Consumer disputes — under Uzbek law. 19.4. Mediation allowed. --- ## 20. LIABILITY CAP 20.1. Provider liability for non-performance is limited to the price of services paid by the Customer. Limits do not apply to life/health harm or Provider intent. --- ## 21. VALIDITY 21.1. Severability: invalid part does not void the rest. 21.2. Agreement runs from acceptance until full performance or termination. --- ## 22. NOTICES 22.1. Provider: support@skillspace.uz, +998 95 090 09 09, Koratosh 44. 22.2. Customer contacts as given at order. Receipt: SMS/messenger on delivery; email after 24 hours; personal account when posted. --- ## 23.
